CHANGES TO THE BOARD

In terms of paragraph 6.39 of the JSE Limited Debt Listings Requirements, noteholders are advised
that, following the disposal by Grindrod Limited of 100% of the issued ordinary share capital of
Grindrod Financial Holdings Limited and 100% of the preference shares issued by Grindrod Bank to
African Bank Limited, the following directors have resigned from the Board with effect from
7 December 2022:

    1.   Mr DT Soondarjee;
    2.   Mr GG Christopulo;
    3.   Ms S Barrett;
    4.   Ms R Ramcharan

The Board wishes to thank Mr DT Soondarjee, Mr GG Christopulo, Ms S Barrett and Ms R Ramcharan
for the valuable contributions that they have made during their tenure as directors of Grindrod Bank
Limited and Grindrod Financial Holdings Limited, and wish them well in their future endeavours.
