Share capital reduction confirmation

Hammerson plc announces that the cancellation of its capital redemption reserve (the
'Capital Reduction'), which was approved by shareholders at the general meeting of
the Company held on 25 October 2022, was yesterday sanctioned by the High Court of
England and Wales (the 'High Court'). The effect of the Capital Reduction is to increase
distributable reserves.
The order of the High Court confirming the Capital Reduction, and the statement of
capital approved by the High Court in connection with the same, were delivered to the
Registrar of Companies today. The Capital Reduction will become effective upon the
registration of the Court order by the Registrar of Companies, which is expected to take
place shortly.
The Company confirms that, following the Capital Reduction, the issued share capital
of the Company remains at 5,002,265,607 ordinary shares of 5 pence each. The
Company currently holds 7,691,247 in treasury. The total number of voting rights in the
Company therefore remains 4,994,574,360.
