NOTIFICATION TO SHAREHOLDERS REGARDING THE TURF-AG PRODUCTS
PROPRIETARY LIMITED ACQUISITION
Shareholders are referred to the announcements released on SENS on
15 March 2013 and 19 April 2013 (collectively “the Acquisition
Announcements”) relating to the agreement entered into between
Ububele Agri Proprietary Limited (“Ububele Agri”), a wholly-owned
subsidiary of the Company, Messrs Wilhelm de Wet and Albert
Lintvelt (collectively “the Purchasers”) and Mr Andries Willem
Stefanus du Toit on behalf of the Willie du Toit Trust (“the
Seller”), regarding the acquisition by the Purchasers of 100% of
the issued share capital in Turf-AG Products Proprietary Limited
(“Turf-AG”) and all rights, title and interest to the Seller’s
shareholder loans in Turf-AG (“the Acquisition”) from the Seller
(“the Agreement”).
Shareholders are hereby advised that, subsequent to the conclusion
of the Agreement and the publication of the Acquisition
Announcements, it has subsequently transpired that certain of the
conditions precedent contained in the Agreement were not fulfilled
timeously and accordingly the Agreement has lapsed and is of no
force or effect. Following negotiations the parties have elected
not to re-instate the Agreement.
The Company is endeavouring to have its portion of the purchase
consideration refunded.
