CHANGE IN ROLE OF A DIRECTOR

In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the Board of
Directors of NVest is pleased to announce the full time employment of Mr Dion Dominic Ramoo
(“Dion”) and his subsequent appointment as Financial Director of the Company with effect from
13 July 2021. Accordingly, Dion has stepped aside an Independent Non-Executive director of
NVest, a position held since 27 January 2021. Dion has, in accordance with regulation, stepped
down from the Company’s Audit and Risk Committee.

Dion is a specialist in finance and is a qualified Chartered Accountant (SA), Professional
Accountant (SA) and also a Chartered Government Finance Officer. Dion has over 30 years
of diverse experience within the public and private sector.

Dion is also a qualified Chartered Director (SA) with over 10 years of board experience at both
listed entity and subsidiary company levels. He has been in senior management and
executive positions since 1995 as a partner at the international audit firm KPMG and at both
group and subsidiary levels at listed entity EOH Limited (“EOH”). Dion has extensive experience
in all aspects of business as he has run a number of businesses within KPMG and EOH.

Dion has provided management and consulting advice to senior decision makers over many
years as a trusted advisor, developed and implemented strategies, managed business
operations, acquired businesses for the EOH group, was responsible for corporate
governance, assurance, risk management, drove innovation, creation of own IP, built and
implemented technology solutions and a focus on training, mentoring and people
management within his areas of responsibility.

The Board would like to thank Dion for his valued service to the Board as an independent non
executive director over the past approximately five months and welcome him in his new role.

The Board would also like to thank Charl Herselman for very ably performing the role of financial
director until Dion’s appointment. Charl will remain as a member of the Board at this time and will
remain in the finance team as Head: Group Finance.
