CHANGE IN LOGISTICAL ARRANGEMENTS FOR THE UPCOMING ANNUAL GENERAL MEETING
Shareholders of Quantum Foods (“Shareholders”) are referred to the announcement published on SENS on Friday,
18 December 2020, advising Shareholders that, inter alia, the annual general meeting of Shareholders (“AGM”) will be
held at 11:00 on Friday, 19 February 2021, subject to the Company determining that the AGM will be held entirely by
electronic means, as more fully set out in the notice of AGM, at Rhebokskloof Estate, Agter Paarl, Windmeul.
Shareholders are hereby advised that, in light of the regulations, directives and/or preventative measures required to be
adhered to relating to the COVID-19 pandemic, as published or issued by the relevant South African authorities from
time to time, and the guidance from the South African Government regarding the need for social distancing, the AGM
will now take place entirely by electronic means, as permitted by the JSE Limited and in accordance with the Companies
Act, No. 71 of 2008 and the Company’s memorandum of incorporation, at 11:00 on Friday, 19 February 2021.
The Company has retained the services of its transfer secretaries, Computershare Investor Services Proprietary Limited
(“Computershare”), to remotely host the AGM on an interactive platform, in order to facilitate remote attendance,
participation and voting by Shareholders.
Certificated Shareholders and dematerialised Shareholders with “own name” registration who wish to electronically
attend, participate in and/or vote at the AGM are required to contact Computershare at proxy@computershare.co.za as
soon as possible but by no later than 11:00 on Wednesday, 17 February 2021, for administrative purposes to obtain log
in credentials. Proof of identification will be required before such Shareholders are provided with usernames and
passwords. Dematerialised Shareholders without “own name” registrations who wish to electronically attend, participate
in and/or vote in the AGM, should request the necessary letter of representation from their broker / Central Securities
Depository Participant (CSDP) and submit a copy thereof to Computershare at proxy@computershare.co.za as soon as
possible but by no later than 11:00 on Wednesday, 17 February 2021, in order to obtain the necessary log in credentials.
Shareholders are also able to register to electronically attend, participate in and/or vote at the AGM by going to
www.smartagm.co.za and completing the required details, however for purposes of voting at the AGM, Shareholders
are encouraged to make use of proxies.
Guests are welcome to register to electronically attend the AGM and follow the proceedings via
https://web.lumiagm.com, with meeting ID 115-118-146, however, they will not be able to participate in, ask any
questions or vote at the AGM.
Shareholders will be liable for their own network charges in relation to electronically attending, participating in and/or
voting at the AGM and such charges will not be for the expense of Quantum Foods nor its service providers. Neither the
Company nor its service providers can be held accountable in the case of loss of network connectivity or other network
failure due to, inter alia, insufficient airtime, internet connectivity, internet bandwidth and/or power outages which prevent
any Shareholder from electronically attending, participating in and/or voting at the AGM.
