CHANGES TO THE BOARD OF DIRECTORS
In compliance with paragraph 3.59(a) and paragraph 3.59 (b) of the
JSE Limited (“JSE”) Listings Requirements, DigiCore hereby advises
shareholders of the following changes that are taking place to the
board of directors:
- Jacob D. Wiese has tendered his resignation as non-executive
director as well as chairman of the social, ethics and
transformation committee with effect from 26 January 2015.
The board wishes to thank Jacob for his dedication over the
time he served on the board and the social, ethics and
transformation committee and wishes him well in his future
endeavours.
- Johan le Roux has been appointed as a non-executive director
to the board and will replace Jacob D. Wiese as chairman of
the social, ethics and transformation committee.
Johan completed his BComm degree in Institutional Investments
at the University of Stellenbosch in 2000. He spent 10 years
working in the retail credit industry before becoming the
executive director of a private investment company in addition
to serving on the board of a number of portfolio companies.
- Stephen P. (Steve) Naudé, who was elected as an alternate non-
executive director for Jacob D. Wiese has been appointed as a
permanent non-executive director to the board. Steve is an
entrepreneurial senior executive, a Chartered Accountant who
is also MBA qualified, with more than thirty year’s experience
in corporate finance and investment banking in both domestic
and cross border markets over a variety of industries and
size.
Steve currently serves, inter alia, on the board, audit and
risk committee and remuneration committee of a JSE listed
company and on the board and audit committee of a private
technology company.
