SMALL RELATED PARTY TRANSACTION – FINALISATION OF FAIRNESS OPINION
Shareholders are referred to the announcement released on SENS on 17 February 2022 regarding the
construction contract entered into between Nabuvax Proprietary Limited, a wholly owned subsidiary of
Acsion, and K. Anastasi Projects Proprietary Limited (“Construction Contract”) constituting a small related
party transaction, and the appointment of Merchantec Proprietary Limited (“Merchantec”), an independent
professional expert acceptable to the JSE Limited (“JSE”), to provide a fairness opinion regarding the
Construction Contract (“Fairness Opinion”).
In compliance with paragraph 10.7(b) of the JSE Listings Requirements, written confirmation has been
received from Merchantec that the terms of the Construction Contract are fair insofar as shareholders are
concerned. A copy of the Fairness Opinion has been provided to the JSE as required.
Pursuant to paragraph 10.7(c) of the JSE Listings Requirements, the Fairness Opinion will lie for inspection
at Acsion’s registered office, Anaprop Offices, Mall@Reds Cnr Hendrik Verwoerd Drive and Rooihuiskraal
Drive, Centurion, 0157, and will be made available on request from the Company Secretary by emailing
michael@mwrk.co.za, for a period of 28 days from the date of this announcement.
