GEN - General- Late Submission of Annual Financial Statements
Denel SOC Limited (THE “ISSUER”)
LATE SUBMISSION OF ANNUAL FINANCIAL STATEMENTS (“FINANCIAL INFORMATION”)
The Johannesburg Stock Exchange ("JSE") wishes to advise that the above-mentioned issuer has failed to submit
its financial information within the seven-month period stipulated in the JSE's Debt Listings Requirements.
Furthermore noteholders are referred to the announcement dated 29 October 2021 released on SENS by the
issuer indicating that Denel did not table its annual financial statements for the year ended 31 March 2021 (“2021
AFS”) to Parliament by 30 September 2021. In addition the issuer confirms that the board of directors of the
Company have made the decision to defer the publication of the 2021 AFS and that the 2021 AFS will be
combined with the publication of Denel’s annual financial statements for the year ending 31 March 2022.
Accordingly, this announcement is issued to warn holders of debt securities that the above issuer has failed to
submit its financial information timeously and that the listing of the issuers’ debt securities and the registration
of programme memorandum (“programme”) is under threat of suspension and possible removal.
This announcement has been placed by the JSE in the interest of debt security holders.
