CLOSING OF THE DISPOSAL OF AGRIPLAS PROPRIETARY LIMITED
Shareholders are referred to the announcements released on the JSE's Stock Exchange
News Service on 22 September 2025 and 2 February 2026, respectively, with the latter
relating to the sale of shares and claims agreement ("the Agreement" or "Sale Transaction"),
the sale of property agreement and the addendum to the Agreement in terms of which, inter
alia, the fulfilment date of the suspensive condition relating to Eswatini Competition
Commission approval ("the Commission") was extended.
The Company now wishes to advise shareholders that the parties have obtained the
Commission's consent to implement the Sale Transaction subject to the undertaking not to
implement same in the territory of the Kingdom of Eswatini until the Commission has approved
the Sale Transaction ("the Undertaking"). To give effect to these arrangements, the parties
have entered into a second addendum to the Agreement.
Accordingly, the Company is pleased to advise that the Sale Transaction will be implemented
in accordance with its terms, save for as contemplated in the Undertaking.
The Company will update shareholders upon receipt of the Commission's feedback in due
course.
