CHANGES TO THE BOARD
In terms of paragraph 6.39 of the JSE Limited Debt Listings Requirements, noteholders are advised of
the resignation of Mr PW Bester as Company Secretary with effect from 24 October 2022. Mr Bester
had been contracted over a two-year period as Company Secretary and to mentor a successor to the
position of Company Secretary of Grindrod Bank. This role has now been completed succesfullly.
Noteholders are further advised that, following Board approval and approval by the Prudential
Authority, the Deputy Company Secretary, Ms P Kasaven has been appointed as Company Secretary
of Grindrod Bank and Grindrod Financial Holdings Limited with effect from 24 October 2022.
The Board wishes to thank Mr Bester for fulfilling his role as Company Secretary over the past two
years while mentoring a successor for the role as Company Secretary of Grindrod Bank.
The Board welcomes Ms P Kasaven as Company Secretary and looks forward to working with her. The
Board wishes her every success in the position.
