NOTICE OF ANNUAL GENERAL MEETING

South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY) (South32) today releases its Notice of Annual General Meeting and Proxy Form for
the 2024 Annual General Meeting (AGM).

The meeting will be held as a hybrid meeting on Thursday, 24 October 2024 at 12.00pm Australian Western Standard Time (AWST).
Shareholders and guests will be able to attend the meeting physically at the Perth Convention and Exhibition Centre, 21 Mounts Bay
Road, Perth, Western Australia or online at https://meetnow.global/S32AGM2024.

The board has determined, in accordance with regulation 7.11.37 of the Corporations Regulations 2001 (Cth), that for the purposes
of the AGM, persons who are registered holders of shares in the company as at 4.00pm (AWST) on Tuesday, 22 October 2024 will be
entitled to attend and vote at the meeting.

The Notice of Meeting will be sent to members consistent with their elections. Any shareholders that have not made a hard copy or
electronic election will receive a notice of access with details for where the Notice of Meeting can be accessed. For shareholders who
have elected to receive a hard copy, the Notice of Meeting will be dispatched by post no later than Monday, 16 September 2024.

The Notice of Meeting, the Proxy Form and other meeting materials can be accessed on South32's website at
https://www.south32.net/agm and a copy of the Notice of Meeting will be submitted to the National Storage Mechanism and
available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
