RESIGNATION OF A DIRECTOR AND APPOINTMENT OF A DIRECTOR
In compliance with paragraph 3.59(b) of the JSE Limited Listings Requirements, kindly be advised that
Ms Lucia Adela Swartz, a non-executive director of SABZK, has resigned with immediate effect.
In compliance with paragraph 3.59(a) of the JSE Limited Listings Requirements, kindly be advised that
Mr William Lesedi Mogase has been appointed as a non-executive director of SABZK with effect from
7 June 2022 subject to approval by SABZK shareholders at the next annual general meeting of the
Company.
Mr William Mogase is the Chairperson of the newly launched SAB Zenzele II Employee Trust as well
as the Chairperson of the South African Breweries Medical Aid Scheme. He was previously the
Chairperson of the SAB Zenzele Employee Trust, which concluded in April 2020. He is studying BCom
Law at Regent Business School.
This appointment is in line with the board of directors’ (“Board”) policy regarding a clear balance of
power and authority at Board level to ensure that no one director has unfettered powers of decision-
making.
The Chairman of the Board expressed appreciation on behalf of the Board for Ms Swartz’s valuable
contribution to the Company and welcomed William to the board.
