                                               is wholly owned by The Ngepi Trust.
Nature of transaction                    :     The Ngepi Trust sold 1,736,528 Nictus shares to
                                               Namprop (Proprietary) Limited. The rationale for the
                                               transaction is a restructuring of Mr GR de V Tromp’s
                                               personal affairs and no change in the ultimate beneficial
                                               holding of shares occurs.
