NOTIFICATION OF AMENDMENTS TO THE ISSUER’S ZAR 12 000 000 000 DOMESTIC MEDIUM TERM
NOTE AND COMMERCIAL PAPER PROGRAMME MEMORANDUM
Bidvestco has received approval from the JSE Limited (“JSE”) on its amended ZAR 12 000 000 000
Domestic Medium Term Note and Commercial Paper Programme memorandum dated 6 April 2021
(the “Amended Programme Memorandum”). A summary of the changes effected in the Amended
Programme Memorandum is provided below:
• Update of the programme amount;
• Update for the trade and settlement of unlisted notes through the CSD and no longer via the JSE;
• Update to the name of the Guarantee Fund for notes listed on the Interest Rate Market of the JSE;
• Updates to the Documents Incorporated by Reference section to:
- include links to where the relevant information is available;
- include the Information Statement dated 6 April 2021 (“Information Statement”), which
contains information pertaining to the Issuer and the guarantor, including a description
of their business, board committees, directors, director declarations and corporate
governance structures and policies; together with a description of the risk factors;
- include SENS announcements released by the Issuer and guarantor relevant to the
Amended Programme Memorandum, the Information Statement and the Notes;
• Updates to the Summary of the Programme section;
• Updates to the Form of the Notes section;
• Amendments to the pro forma applicable pricing supplement to cater for amendments to the JSE
Debt Listings Requirements (“new Requirements”) and other technical changes;
• Amendments to cater for the new Requirements, resulting in amendments to:
- Condition 8 - “Interest”;
- Condition 10 - Redemption and Purchase”;
- Condition 13 - “Events of Default”
- Condition 18 - “Notices”;
- Condition 19 - “Meetings of Noteholders”;
- Condition 20 - “Modification”, respectively; and
- the issuer responsibility and JSE liability statements;
• The removal of the sections headed “Description of the Issuer and the Guarantor”, “Corporate
Governance and Regulatory Framework, Board Directors and Committees” and “Investor
Considerations” from the programme, as such information has been included in the Information
Statement;
• Updates to the Settlement, Clearing and Transfer of Notes section;
• Updates to the South African Taxation sections;
• Updates to the Subscription and Sale section;
• Updates to the South African Exchange Control section;
• Updates to the General Information section;
• Updates to the Corporate Information;
• Definitions were removed, amended or inserted to give effect to all of the above-mentioned
amendments; and
• Other technical changes.
The Amended Programme Memorandum and Information Statement are available for inspection at
the registered office of the Issuer and will be made available for inspection on the website,
https://www.bidvest.co.za/dmtn-cp.php .
The Amended Programme Memorandum will also be made available for inspection on the JSE’s
website, www.jse.co.za.
