RECONSTITUTION OF THE SANRAL BOARD SUB-COMMITTEES

SANRAL would like to inform note holders that following the announcement of 10 June 2025
regarding the appointment of Mr. John Motsatsing, Board sub-committees have been
reconstituted as follows:


The Asset and Liability Committee ("ALCO") will be chaired by Mr. Mahesh Fakir, who shall be
joined by Mr. John Motsatsing and Mr. Reginald Demana as members of the Committee.

The Contracts Committee ("CC") will be chaired by Mr. John Motsatsing, who shall be joined by
Mr. Mahesh Fakir and the Mr. Reginald Demana as members of the Committee.


The Audit and Risk Committee ("ARC") will continue to be chaired by Ms. Refilwe Buthelezi, and
Mr. Thamsanqa Matosa and Mr. Rob Haswell will continue as members of the ARC. The Board is
still undergoing a process of appointing an ARC adviser, who will be a qualified and experienced
chartered accountant to assist the ARC.

The Social, Ethics and Transformation Committee ("SETC") will continue to be chaired by
Mr. Thamsanqa Matosa, with Mr. Rob Haswell and Ms. Refilwe Buthelezi as members.

This change is effective 01 August 2025.
