regarding a preliminary, unsolicited approach from Kohlberg Kravis Roberts & Co. L.P., in its
capacity as adviser to its affiliated investment funds and separately managed accounts
("KKR"), and USS Investment Management Limited (as agent for and on behalf of Universities
