CHANGES TO THE BOARD
In accordance with paragraph 6.39 of the JSE Limited Debt Listings Requirements, the board
of directors of the Issuer (the “Board”) wishes to advise that Mr Frans du Toit has retired from
his position as an independent non-executive director of the Board and Chairman of the Board
Audit Committee of Bank Windhoek, with effect from 30 June 2023.
Mr Vetumbuavi Mungunda will, with effect from 30 June 2023, take over from Mr du Toit as
Chairman of the Board Audit Committee of Bank Windhoek.
Mr du Toit joined the Board in May 1998. He has chaired Bank Windhoek’s Board Audit
Committee since 2006 and has been a member of the Board Risk and Compliance Committee
and the Board Lending Committee. He also served on the board of Capricorn Group Limited
(“Capricorn Group”) from 1998 to 2006. For many years, he chaired the Group Board
Remuneration Committee and was a member of the Group Board Nominations Committee
and the Group Board Human Resources Committee.
The boards of Bank Windhoek and Capricorn Group would like to express their sincere
gratitude to Mr du Toit for his invaluable contributions to Bank Windhoek and Capricorn Group
over the last 25 years.
