JOINT ANNOUNCEMENT - EXTENSION OF THE DISTRIBUTION DATE OF THE COMBINED
MANDATORY OFFER CIRCULAR


1.      INTRODUCTION


        Novus shareholders are referred to the firm intention announcement released on SENS on Friday,
        1 October 2021 ("FIA"), wherein they were advised of the firm intention to make a mandatory offer to
        Novus shareholders by the Offeror.


2.      EXTENSION OF DISTRIBUTION OF THE COMBINED MANDATORY OFFER CIRCULAR


        In the FIA, Novus shareholders were advised that the combined mandatory offer circular
        (the 'Combined Circular') was expected to be distributed within 20 business days of the date of the
        FIA, (i.e by no later than Friday, 29 October 2021).


        Novus shareholders are advised that there has been a delay in the finalisation of the Combined
        Circular, and upon request, the TRP has granted an extension to the distribution date, in terms of
        which the Combined Circular is required to be distributed to Novus shareholders to by no later than
        Friday, 26 November 2021.

3.      INDEPENDENT BOARD RESPONSIBILITY STATEMENT

        The Independent Board:


        3.1.    accepts responsibility for the information contained in this announcement as it relates to

        3.2.    confirms that to the best of their respective knowledge and belief, the information contained
