RESULTS OF GENERAL MEETING
Shareholders are referred to the circular to ConvergeNet shareholders dated 17 October 2012
regarding:
- The sale of ConvergeNet’s remaining interest in Future Cell Proprietary Limited to Pepkor
Limited, a related party;
- the specific purchase by ConvergeNet Management Services Proprietary Limited (“CMS”), a
wholly owned subsidiary of ConvergeNet, of 71 478 594 ConvergeNet ordinary shares from
Titan Share Dealers Proprietary Limited (“Titan”); and
- the granting by ConvergeNet of financial assistance, in the form of a loan, to CMS in terms of
section 44 of the Companies Act 71 of 2008, to enable it to fund the purchase consideration of
the 71 478 594 ordinary shares in ConvergeNet purchased by it from Titan, (collectively “the
Transactions”).
Shareholders are advised that at the general meeting of ConvergeNet shareholders held today, all
the special resolutions and the ordinary resolutions were approved by the requisite majority of
shareholders to effect the Transactions. The special resolutions will be filed with the Companies
and Intellectual Property Commission in due course.
