RESULTS OF THE RIGHTS OFFER
1. Results of the rights offer
Mediclinic shareholders are referred to the announcements released on SENS on
24 August 2012 and 31 August 2012, and the circular dated 17 September
relating to a fully underwritten, renounceable rights offer to raise
ZAR5.0 billion ("the rights offer").
The rights offer consisted of an offer of 174,641,984 new Mediclinic shares at
an issue price of ZAR28.63 per Mediclinic share in the ratio of 26.77263 new
Mediclinic shares for every 100 Mediclinic shares held on the record date of the
rights offer, being Friday 14 September 2012 ("rights offer shares").
The rights offer closed at 12:00 on Friday, 5 October 2012 and the results thereof
are set out in the table below:

2. Issue of rights offer shares
Share certificates will be posted to holders of certificated shares who have
followed their rights on or about Monday, 8 October 2012.
The Central Securities Depository Participant ("CSDP") or broker accounts of
holders of dematerialised shares or their renouncees, who have followed their
rights, will be credited with the rights offer shares and debited with any
payments due on or about Monday, 8 October 2012.
3. Excess applications
The excess rights offer shares applied for will be allocated in a manner viewed as
equitable in terms of the JSE Listings Requirements, taking
cognisance of the number of shares held by the shareholder, including those
taken up as a result of the rights offer, and the number of excess rights offer
shares applied for by such shareholder.
Share certificates will be posted to holders of certificated shares, who have been
allocated excess rights offer shares on or about Wednesday, 10 October 2012.
The CSDP or broker account of holders of dematerialised shares who have been
allocated excess rights offer shares, will be credited with the excess rights
offer shares on or about Wednesday, 10 October 2012.
Refund payments in respect of unsuccessful applications will be made to the
relevant applicants on or about Wednesday, 10 October 2012. No interest will be
paid on monies received in respect of unsuccessful applications.
4. Underwriting
The rights offer was fully underwritten by Remgro Limited, through its
wholly-owned subsidiary, Industrial Partnership Investments Proprietary Limited
("the underwriter").
No rights offer shares were available to be allocated to the underwriter.
