CHANGE TO THE BOARD OF DIRECTORS – RESIGNATION AND APPOINTMENT OF DIRECTORS


In compliance with paragraph 6.42 of the Debt and Specialist Securities Listings Requirements of the JSE
Limited, the board of directors of SuperDrive hereby notifies Noteholders of the following changes to the
Board with effect from 26 May 2025:

-    Mr Nicholas Russell Clarke has resigned as an independent non-executive director, Chairperson of the
     Audit Committee and a member of the Social and Ethics Committee of SuperDrive.

-    The Board thanks Mr Clarke for his invaluable contribution to SuperDrive during his tenure and wishes
     him well in his future endeavours.

-    Ms Rozanne Kamalie has resigned as alternate director to Mr Clarke.

-    Pursuant to SuperDrive's policy dealing with the nominations of directors:

     o   Mr Brendan Harmse has been appointed as an independent non-executive director, member of the
         audit committee and a member of the social and ethics committee of SuperDrive, replacing Mr Clarke.

         Mr Harmse has been active in the South African capital markets, structured finance, lending and
         corporate fiduciary services markets for more than 25 years. He has extensive knowledge and a
         detailed understanding of capital markets, structured finance, secured lending and escrow related
         structures, instruments and industry participants.

         Mr Harmse has been leading corporate fiduciary service offerings, and acting as an independent
         trustee, director, audit committee and social & ethics member on various special purpose trusts and
         companies, since 2009.

         Prior thereto, he was an arranger and structurer at the Industrial Development Corporation of South
         Africa Limited, Sasfin Bank Limited and Absa Bank Limited.

         Brendan is currently the chairman of the South African Securitisation and Asset-backed Securities
         Forum, a role he also fulfilled from 2012 to 2015.

     o   Ms Kamalie has hereby been appointed as alternate director to Mr Harmse.

         Ms Kamalie possesses extensive experience in contract management and legal compliance. Her
         exposure to securitisation and structured finance has garnered her experience in corporate
         governance and compliance management. A strategic thinker with advanced abilities of applying legal
         logic to complex issues. Ms Kamalie has extensive experience in Capital Market Services specialising
         in corporate services and securitisation transactions. She is currently completing her international
         company secretarial exams with CGISA.

         After completing her articles at Cecil Kamalie Attorneys, Ms Kamalie continued to practice law and
         managed the civil litigation, deceased estates and conveyancing department until 2014. Ms Kamalie
         joined Barclays Africa Group Limited (now ABSA Bank) as an KYC & AML Compliance Officer. Her
         primary duties were performing risk analysis on high-risk clients in accordance with international anti-
         money laundering and know your client standards.

         During October 2016, Ms Kamalie joined Amdec Group as a legal advisor providing legal advice and
         support for various real estate developments and real estate finance projects.

         Ms Kamalie commenced her journey with TMF as a transaction manager within the Corporate
         Finance division in September 2017. She has worked extensively in Capital Market Services and has
         subsequently been promoted in July 2022 as the CMS- Structure Finance manager.

The Board welcomes Mr Harmse and Ms Kamalie in their new roles and looks forward to their contribution
to SuperDrive.
