AMENDMENTS TO UMGENI WATER’S ZAR4 000 000 000 DOMESTIC MEDIUM TERM NOTE PROGRAMME
Noteholders are advised that Umgeni Water has amended and updated its ZAR4 000 000 000 Domestic Medium
Term Note Programme (the “Programme Memorandum”) to incorporate various regulatory amendments in
order to align the Programme Memorandum with the most recent Debt Listings Requirements.
The amendments to the Programme Memorandum primarily relate to updates of the following sections:
• litigation;
• documents incorporated by reference;
• risk factors;
• the issuer’s and JSE’s responsibility paragraphs;
• amendments to existing definitions and the inclusion of additional definitions;
• amendments to the pro forma Applicable Pricing Supplement;
• the terms and conditions of the notes;
• the section relating to the issuer agent;
• provisions in respect of notices to and by noteholders;
• the process relating to meetings of noteholders;
• description of Umgeni Water; and
• the South African taxation and exchange control sections to align with current legislation
The amendments to the Programme Memorandum have been approved by the JSE and the updated Programme
Memorandum is available for inspection on Umgeni Water’s website,
http://www.umgeni.co.za/services/bti.asp.
