CANCELLATION OF THE WINGS ACQUISITION 
 

Shareholders are referred to the joint announcements released by Mara Delta and The Pivotal Fund Limited 
(“Pivotal”) on SENS and on the website of the Stock Exchange of Mauritius Limited on 17 November 2015 and 7 
December 2015 as well as the circular to Mara Delta shareholders dated 4 April 2016 regarding, inter alia, the 
acquisition by Mara Delta of 100% shareholding in SB Wings Development Limited, a wholly owned subsidiary of 
Pivotal, which has as its sole asset a 37.1% shareholding in Oando Wings Development Limited, a Nigerian 
company undertaking a large office development on its immovable property in Lagos, Nigeria (“Wings 
Acquisition”). 

Shareholders are advised that Mara Delta and Pivotal have, by mutual agreement between the parties, decided 
not to pursue the Wings Acquisition. The recent announcement of Pivotal’s sale to Redefine Properties Limited 
(“Redefine”) and Redefine’s strategy which excludes Africa has resulted in the parties agreeing not to conclude 
the sale transaction. 

The Company has its primary listings on both the Official Market of the SEM and the main board of the JSE.
