Title: Change in the Supervisory Board of Globe Trade Centre S.A.

The Management Board of Globe Trade Center S.A. ("Company"), hereby informs that on 10
July 2025, it received a written notice from GTC Dutch Holdings B.V. with its registered office
in Amsterdam, the Netherlands (the "Entitled Shareholder"), according to which the
Entitled Shareholder appoints Mr. Zoltán Martonyi as member of the Supervisory Board of the
Company, effective immediately. The appointment was made pursuant to article 9 point 1 a)-c) of
the Articles of Association of the Company.

Pursuant to the deposit certificate attached to the notice, GTC Dutch Holdings B.V.
holds 337,637,591 shares in the Company, which constitute 58.80% of the Company's share
capital, and therefore is entitled to appoint members of the Supervisory Board of the Company
pursuant to the Articles of Association of the Company.

According to the statements Mr. Zoltán Martonyi is not entered in the register of insolvent
debtors maintained in compliance with the Act on the National Court Register dated 20 August
1997, do not perform any activities outside of the Company's business which could be
considered competitive with respect thereto, do not participate in any competitive business either
as a partner in a civil partnership or any other type of partnership, and is not members of the
authorities of any competing company or any other competing entity. Moreover, Mr. Zoltán
Martonyi fulfils the independence criteria as specified in Annex No. II to Commission
Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory
directors of listed companies and on the committees of the (supervisory) board.

Dr. Zoltán Martonyi is a senior partner at Martonyi & Partner Law Firm, advising on complex
legal, financial, and defense industry transactions. He previously served as a global relationship
partner at PwC and held senior roles at leading international law firms, including Linklaters and
Baker & McKenzie, where he was a partner leading the banking and finance practice in Budapest.
Dr. Martonyi holds an LL.M. from Cornell Law School and a law degree from Eötvös
Loránd University. He currently chairs the supervisory board of the Foundation for Theatre and
Film Arts and leads the international affairs committee of the Hungarian Defence Industry
Association. He is a former member of the board of directors of KDB Bank Europe Zrt. and
currently serves on the supervisory board of the Habsburg Ottó Foundation.



Legal grounds: Art. 5 point 6 of the Regulation of the Council of Ministers of 6 June 2025
concerning the submission of current periodical information by the securities' issuers and the
conditions of recognizing as equal the information demanded by the national lawful regulation of a
country which does not hold the membership in European Union
