UPDATE ON SALIENT DATES AND TIMES IN RELATION TO THE BROAD-BASED BLACK
ECONOMIC EMPOWERMENT TRANSACTION

1. INTRODUCTION

   Shareholders of Imperial (“Shareholders”) are referred to the announcement dated 23 April 2021
   in terms of which shareholders were advised that the Company had entered into transaction
   agreements with the B-BBEE Shareholders in relation to a proposed transaction that would provide
   the B-BBEE Shareholders with an opportunity to participate in a 25% B-BBEE shareholding in ILSA
   (“the 23 April Announcement”).

   As the Transaction is deemed a Related Party Transaction as defined in the Listings Requirements
   of the JSE, the Transaction is subject to approval by Shareholders

   Unless specifically defined in this announcement, terms defined in the 23 April
   Announcement shall bear the same meanings when used in this announcement.


2. UPDATE ON SALIENT DATES AND TIMES

   Shareholders are advised that a circular to Shareholders setting out the full details of the
   Transaction (“Circular”), including a notice to convene a general meeting of Shareholders
   (“General Meeting”) is currently in the process of being approved by the JSE. It is anticipated that
   the Circular will be posted to Shareholders on or about Thursday, 17 June 2021 with the General
   Meeting taking place on or about Friday, 16 July 2021.

   A further announcement setting out the full salient dates and times in relation to the posting of the
   Circular and the General Meeting, will be released in due course.
