NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT 71 OF 2008


Notice is hereby given that, in terms of the provisions of section 45(5) of the Companies Act 71 of 2008
(“the Companies Act”), and pursuant to the special resolution passed at the annual general meeting of Rex Trueform
held on 17 November 2016 authorising the board of directors of the company (“the board”) to provide direct or
indirect financial assistance to present or future subsidiaries of the company and/or any other company or corporation
that is or becomes related or inter-related to the company, the board has adopted a resolution on 4 July 2017 in terms
of section 45(2) of the Companies Act authorising the company to provide financial assistance to its wholly-owned
subsidiary, Queenspark Proprietary Limited (“Queenspark”), by way of the company guaranteeing the due and punctual 
payment of all amounts payable by Queenspark arising under or in connection with a service agreement entered into between 
Queenspark, Rex Trueform, Queenspark Distribution Centre Proprietary Limited, African and Overseas Enterprises Limited 
and Catherine Elizabeth Anne Radowsky.

The guarantee constitutes financial assistance in terms of section 45(1) of the Companies Act, the total value of which
exceeds one-tenth of one percent of the company’s net worth at the time of the adoption of the resolution.

The board resolutions in this regard were adopted in compliance with the provisions of section 45 of the Companies
Act.
