Cautionary Announcements – Letshego / Nigeria Transaction and update on Tanzania
Transaction

Letshego Holdings Limited (“LHL” / “the Company”) was incorporated in 1998, is
headquartered in Gaborone and has been publicly listed on the Botswana Stock
Exchange (BSE) since 2002. It is a holding company with consumer and micro lending
subsidiaries across nine countries in Southern and East Africa - Botswana, Kenya,
Lesotho, Mozambique, Namibia, Rwanda, Swaziland, Tanzania and Uganda.

1. Nigeria Transaction

   The Board of Directors would like to inform Shareholders that the Company has
   entered into negotiations with a third party in Nigeria to acquire a 100%
   shareholding in a deposit taking financial institution that specializes in micro
   finance, which if successfully concluded, and subject to all regulatory
   approvals, may result in a transaction that could have an impact on the price of
   the Company’s securities.

2. Update on Tanzania Transaction


   Shareholders are further advised that the transaction in Tanzania, as
   communicated to Shareholders on 27 April 2015 and 10 June 2015, remains subject
   to regulatory approval.



Accordingly, Shareholders are advised to exercise caution           when      dealing   in   the
Company’s securities until a further announcement is made.
