Mr Roberts has served as a director of Atterbury Property since 31 July 2017. He held this directorship in accordance with the terms of the Atterbury Property shareholders' agreement which confers the shareholders of Atterbury Property, the most notable being Atterbury Property Holdings Proprietary Limited ("APH") which holds 77.52% of the shares in Atterbury Property, the right to appoint up to eight directors to the Atterbury Property board. In terms of the same agreement shareholders are also entitled to request the removal of any director nominated by them, which right has been exercised. The reasoning cited for Mr Roberts' removal was an alleged strategic misalignment between Mr Roberts, Mr Albie Cilliers (a director of APH, appointed to replace Mrs Ellen Marais) and RMH on the one hand, and the rest of the APH board. Mr Roberts, together with Mr Albie Cilliers, retain their positions as directors of APH in accordance with RMH's right to appoint one director for each 10% share held in APH which is a term of the APH shareholders agreement.
