UPDATE: LEADERSHIP ANNOUNCEMENT

Further to the announcement published on 4 September 2024 regarding the planned conclusion of
Ms Baronice Hans's tenure as Managing Director of Bank Windhoek effective 30 June 2025, and
the announcement published on 7 January 2025 regarding the appointment of Mr James Chapman
as Managing Director Designate, shareholders are advised Mr Chapman has become the Managing
Director of Bank Windhoek on 1 July 2025 and that following her stepping down as Managing
Director of Bank Windhoek, Ms Hans will continue to serve as an executive director on the board of
Bank Windhoek until 30 September 2025. After this date, Ms Hans will retire from the board of Bank
Windhoek.

The board of Bank Windhoek express their sincere appreciation to Ms Hans for her invaluable
contributions, dedicated leadership, and significant impact over the years.
