AMENDED AND RESTATED PROGRAMME MEMORANDUM

Noteholders are referred to the ZAR10,000,000,000.00 Note
Programme Memorandum (“the Initial Programme Memorandum”) which
was established by the Issuer on 25 March 2019 (the “Initial
Programme”).

The Initial Programme Memorandum will be superseded and replaced
by the terms and conditions of a new Programme Memorandum of the
Issuer, dated 10 August 2023 (the “New Programme Memorandum”).

The New Programme Memorandum has been updated to comply with all
of the applicable provisions of the amended JSE Debt Listings
Requirements (effective 30 November 2022).

The New Programme Memorandum was approved by the JSE on 11 August
2023 and is available for viewing on the following website link:
