FINALISATION OF FAIRNESS OPINION – SMALL RELATED PARTY TRANSACTION
Shareholders are referred the SENS announcement released on Thursday, 11 August 2022, which SENS
announcement detailed a small related party transaction (the "Transaction") entered into between Lighthouse
and Resilient REIT Limited, a material shareholder in Lighthouse, and the appointment of an independent
professional expert with regard to the provision of a fairness opinion relating to the Transaction.
The Company appointed PKF Octagon, an independent professional expert acceptable to the JSE, to provide
its directors with an independent professional expert's opinion regarding the fairness of the Transaction as
required in terms of the JSE Listings Requirements.
Written confirmation has been received from PKF Octagon that the terms of the Transaction are fair as far as the
shareholders of the Company are concerned ("Fairness Opinion"). A copy of the Fairness Opinion has been
provided to the JSE.
As required in terms of paragraph 10.7(c) of the JSE Listings Requirements, the Fairness Opinion will lie open
for inspection at the registered office of Lighthouse, 4th Floor, Office 41, Block A, Il-Piazzetta, Tower Road,
Sliema, Malta, for a period of 28 days from the date of this announcement.
