(“WCC” or “the Company”)

TERMS AND CONDITIONS OF APPOINTMENT OF MANAGING DIRECTOR


The Board of WCC advises that the material terms and conditions 
applicable for Mr Stephen Miller pursuant to his appointment as 
Managing Director (MD) of the Company comprise:

  - Fees: AU$350,000 gross per annum in total consideration,
    paid monthly on submission of a valid tax invoice (Fee).

  - Transaction Bonus: Subject to prior shareholder approval,
    a transaction bonus equal to 120% of the Fee in the event
    of completion of a trigger event type transaction such as
    a merger or takeover.

  - Business Expenses: Approved business expenses to be reimbursed 
                       on claim.

  - Vacational Leave: 20 working days (4 weeks) per annum.

  - Termination Without: MD = 3 months prior written notice
    Cause                WCC = 12 months prior written notice
