FINALISATION ANNOUNCEMENT


Further to the acquisition by PBT of 100% of Prescient Holdings (Proprietary) Limited,    
Prescient Capital  (Proprietary) Limited and a further 25% of Greenfields Institute of
Business(Proprietary)  Limited  (collectively “Prescient”),  resulting in the  reverse 
listing of Prescient. Shareholders  are  hereby  advised that the Company has received 
confirmation of registration of the Special Resolutions relating to the Change of Name,
the Share  Capital Conversion and  the MOI Adoption  by  the Companies and Intellectual 
Property Commission (“CIPC”). There are no  further  conditions  precedent outstanding.


Accordingly, the following salient dates and times are applicable:

Last day to  trade  shares under the  present
share capital  and under the  current name in
order  to be recorded as a shareholder by the

Trading in shares under the new share capital
and     new    name  (Share  Code:   PCT  and 
ISIN:ZAE000163531) commences  on

Record    date    for    determining    those
shareholders  whose shares will be subject to

Forms of surrender for new certificates to be
received by the transfer secretaries by 12:00
on record date  in order for new certificates

Dematerialised shareholders will have their

Notes:

1. PBT shares may not be dematerialised or rematerialised after Friday, 17
   August 2012.

2. Posting of all new share certificates to certificated shareholders will
   be    made   on   or   about   one   day   after   the   Record   Date,  
   if   the   share certificates have been surrendered by 12:00 on record 
   date or within 5 business days of receipt thereafter.
