Renewal of Cautionary Announcement


Shareholders are referred to the ‘Business update on legal actions, Event of Default, proposed
debt restructuring, rationale for a capital raise and cautionary announcement’ (“Cautionary
Announcement”) released on SENS on 12 May 2022 wherein it was advised, inter alia, (and
using the terms defined therein unless otherwise stated) that:

-     as a result of Afristrat being unable to pay interest or capital due and payable to holders of
      the Company’s Notes with effect from the date the Cautionary Announcement, in terms of
      the Programme Memorandum an Event of Default had occurred;

-     Afristrat will make an offer to current holders of the Company’s Notes and Preference Shares
      to convert their holdings to ordinary shares in Afristrat, which offers are subject to the
      approvals by, inter alia, the holders of the Notes and the Preference Shares, as well as the
      approvals by shareholders for the issue of ordinary shares; and

-     the outcome of the restructuring initiatives detailed in the Cautionary Announcement may
      have a material effect on the price of the Company's securities.

As the restructuring initiatives are still underway, shareholders are advised to continue
exercising caution when dealing in the Company’s securities until a full announcement is made.
