AMENDMENTS TO UMGENI WATER'S ZAR4 000 000 000 DOMESTIC MEDIUM TERM NOTE
PROGRAMME
Noteholders are advised that uMngeni-uThukela Water ("uMngeni") has amended and updated its
ZAR4 000 000 000 Domestic Medium Term Note Programme (the "Programme Memorandum") and
Issuer Disclosure Document ("the programme") to incorporate various regulatory amendments in
order to align the Programme with the most recent JSE Debt and Specialist Securities Listings
Requirements ("DSSRs")
The amendments to the Programme primarily relate to updates of the following sections:
• litigation;
• documents incorporated by reference;
• risk factors;
• the issuer's and JSE's responsibility paragraphs;
• inclusion of policies in accordance with the JSE DSSRs
• amendments to existing definitions and the inclusion of additional definitions;
• amendments to the pro forma Applicable Pricing Supplement;
• provisions in respect of notices to and by noteholders;
• the process relating to meetings of noteholders;
• description of Umgeni; and
• board changes
The amendments to the Programme have been approved by the JSE and the updated Programme
Memorandum and Issuer Disclosure Document are available for inspection on uMngeni's website
