FURTHER ANNOUNCEMENT RELATING TO NEGOTIATIONS WITH MTN SOUTH
AFRICA AND WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT

Shareholders   are   referred  to   the   various  cautionary
announcements published on the Stock Exchange News Service of
the JSE Limited, the last of which was released on 05 August
2015.

Telkom and MTN South Africa have been in discussions regarding
the potential extension of their existing roaming agreement to
include bilateral roaming and outsourcing of the operation of
Telkom’s radio access network (“the transaction”).

Telkom and MTN South Africa have been informed by the
Competition Commission that it has recommended to the
Competition Tribunal that the transaction be prohibited.

The parties have thus agreed not to proceed with the
transaction in its current form.

Accordingly, shareholders are advised that caution is no
longer required to be exercised when dealing in Telkom’s
securities.

Management will host a conference call at 16:00 (SA time)
