MTN ENGAGEMENT WITH SHAREHOLDERS ON REMUNERATION POLICY AND IMPLEMENTATION
REPORT
In compliance with paragraph 3.84(j) of the JSE Listings Requirements, shareholders are advised that as a
result of more than 25% of the votes exercised, voting against the non-binding advisory ordinary
resolutions number 9 and 10 at the MTN Annual General Meeting held on 21 May 2020, shareholders are
invited to engage with the Company and raise their concerns or recommendations on the remuneration
policy and the implementation report.
As we continue to observe regulations relating to COVID-19, including social distancing, the engagement
will be held virtually on Thursday, 20 August 2020, at 11h00 (SA TIME) on Microsoft Teams and will also
be accessible telephonically.
Shareholders who wish to participate in the engagement are requested to register by contacting our

by Friday, 31 July 2020 at 12h00, to obtain further details of the virtual meeting.
