FINALISATION OF DISPOSAL OF PROPERTY BY JOINT VENTURE, WOODSTOCK HUB PROPRIETARY
LIMITED

Shareholders are referred to the announcement published on SENS on 19 January 2023 (“Transaction
Announcement”). The capitalized terms in this announcement bear the same meaning as in the Transaction
Announcement.

1. Fairness Opinion

Shareholders were advised that the Company had concluded the Disposal, which constitutes a small related
party transaction in terms of the Listings Requirements of the JSE Limited. Further, that the independent
directors of Trematon would appoint an Independent Expert to provide written confirmation that the terms of the
Disposal are fair as far as Shareholders are concerned, and that Shareholders would be advised once the
Opinion became available.

Valeo Capital was appointed as the Independent Expert and the Opinion has now been finalised. The
Independent Expert has considered the terms and conditions of the Disposal and has expressed the opinion
that the Disposal is fair to Shareholders.

A copy of the Opinion is available for inspection at Trematon’s registered office for a period of 28 days from the
date of this announcement and may also be requested via email, at no additional charge, from the Company
Secretary at: jac@trematon.co.za

2. Further information regarding Disposal

By agreement between the parties the effective date of the Disposal has been postponed to 1 May 2023.

The total disposal consideration for the Disposal of R16 250 000 will be paid in cash upon registration of transfer
of the Property and Trematon will apply its portion of the proceeds of the Disposal to reduce debt.
