beneficiary and Mr MEE Sassoon is a discretionary
beneficiary and Rolbase Investments Proprietary
Limited (“Rolbase”), a wholly owned company of SCT
Date of transaction: 28 February 2017
Nature of transaction: An off-market disposal and acquisition of Sasfin
ordinary shares. Disposal of Sasfin ordinary shares
by SCT to Rolbase in exchange for further ordinary
shares in Rolbase (“Transfer”). The Transfer has no
effect on Mr RDEB Sassoon’s and Mr MEE
Sassoon’s ultimate effective indirect beneficial
interest in Sasfin ordinary shares as SCT is merely
interposing Rolbase between SCT and its existing
shareholding in Sasfin and Rolbase will continue to
be wholly owned by SCT upon implementation of the
Transfer
