Results of the private placing and listing on the main board of the JSE Limited
Reference is made to the pre-listing statement issued by Ascendis on Friday, 15 November 2013 and the
abridged pre-listing statement released on the Securities Exchange News Service on the same date, relating
to an offer by Ascendis and certain existing shareholders to select institutional and other investors in South
Africa to subscribe for up to 41 163 636 ordinary shares in Ascendis, for cash, at an issue price of R11 per
ordinary share, amounting to a capital raise of R452.8 million (“the Private Placing").
The board of directors of Ascendis is pleased to announce that the Private Placing was significantly over-
subscribed, and the Company has successfully placed 41 163 636 ordinary shares for an aggregate amount
of R452.8 million. All conditions precedent to which the Private Placing and listing was subject, have been
fulfilled. The allocated ordinary shares will be transferred to successful applicants on a `delivery-versus-
payment` basis on Friday, 22 November 2013.
Accordingly, 229 735 527 ordinary shares in Ascendis will be listed in the "Pharmaceuticals" sector of the
JSE under the abbreviated name "ASCENDIS" with share code: ASC and ISIN: ZAE000185005, with effect
from the commencement of trade on Friday, 22 November 2013.
