END OF TERM OF APPOINTMENT AS DIRECTOR


In accordance with paragraph 6.39(b) of the JSE Limited Debt Listings Requirements, the
board of directors of the Company ("the Board") wishes to advise that the term of
appointment of Mr. Errol Makhubela ("Mr. Makhubela"), a National Treasury nominated
independent non-executive director of the Company, has come to an end effective 13 May
2024. Mr. Makhubela served as chairman of the Asset-liability Committee (ALCO) and as a
member of the Contracts Committee of SANRAL. The Board would like to extend its
appreciation to Mr. Makhubela for his commitment and service to the Company over the
years.

The Board has commenced a process of engaging with the shareholder department
(National Department of Transport) and National Treasury for the appointment of a suitable
replacement and investors will be advised as soon as such appointment has been made.
