DIVIDEND UPDATE AND CURRENCY CONVERSION

Shareholders are referred to the announcement released on SENS on Tuesday, 1 August 2023
containing details on the Company’s dividend number 8.

Notice is hereby given that dividend number 8, being a gross dividend of 30 US cents per ordinary share,
payable from income reserves, will be converted from United States Dollars (USD) to South African Rand
(ZAR) at a rate of 18.80000 ZAR per 1 USD, being the spot exchange rate on Friday, 25 August 2023
obtained from a currency conversion transaction the Company entered into upon remitting funds for
payment of the dividend to a Company account in South Africa. The gross dividend in ZAR will therefore
be 5.64000 ZAR per share.
Shareholders are reminded that the relevant dates relating to the payment of dividend number 8 on the
Johannesburg Stock Exchange (“JSE”) are as follows:

Share certificates on the South African branch register may not be dematerialised or rematerialised
between Wednesday, 30 August 2023 and Friday 1 September 2023, both dates inclusive, nor may
transfers between the United States share register and the South African branch register take place
between Wednesday, 30 August 2023 and Friday, 1 September 2023, both dates inclusive.
Additional information for South African resident shareholders of Textainer

- Textainer has no tax registration in South Africa
- The issued ordinary share capital of Textainer is 58 032 164 ordinary shares
- The dividend paid by Textainer to South African resident shareholders registered on the South African
  branch register are subject to South African Dividend Tax (Dividend Tax) of 20% (subject to any
  available exemptions as legislated)
- Shareholders registered on the South African branch register who are exempt from paying the Dividend
  Tax will receive a gross dividend of 5.64000 ZAR per share (564.00000 cents per share) paid by
  Textainer
- Shareholders registered on the South African branch register who are not exempt from paying the
  Dividend Tax will receive a net dividend of 4.51200 ZAR per share (451.20000 cents per share) (gross
  dividend 30 US cents per share less Dividend Tax of 1.12800 ZAR per share (112.80000 cents per
  share)) paid by Textainer.
