APPOINTMENT OF DIRECTOR AND CHANGES TO RESPONSIBILITIES OF
DIRECTORS
In accordance with paragraph 6.39(c) of the JSE Debt Listings
Requirements, noteholders are hereby advised of the following
changes to members of Board Committees, effective 5 April 2023:
Audit and Risk Committee
Ms Nonzukiso Siyotula has been appointed as a member and chairman
of the Audit and Risk Committee.
Ms Dudu Hlatshwayo has ceased to be the chairman of the Audit and
Risk Committee and remains a member.
Board Investment Committee
Ms Dudu Hlatshwayo has been appointed as a member and Chairman of
the Board Investment Committee.
Messrs Gcobani Mancotywa and Andile Khumalo have been appointed as
members of the Board Investment Committee.
Dr Kgabo Badimo has ceased to be a member of the Board Investment
Committee.
Human Resources, Remuneration and Nominations Committee
Mr. Gcobani Mancotywa, Ms Sibongile Sambo and Ms Nonzukiso Siyotula
have been appointed as members of the Human Resources, Remuneration
and Nominations Committee.
Information, Communication, Technology Committee
Ms Sibongile Sambo and Ms Nonzukiso Siyotula have been appointed
as members of the Information, Communication, Technology
Committee.
Social and Ethics Committee
Mr Gcobani Mancotywa has been appointed as a member and chairman
of the Social and Ethics Committee.
Dr Kgabo Badimo has ceased to be the chairman of the Social and
Ethics Committee and remains a member.
Ms Dudu Hlatshwayo has ceased to be the chairman of the Social and
Ethics Committee.
Ms Sibongile Sambo and Mr Andile Khumalo have been appointed as
members of the Social and Ethics Committee.
Board Economic Regulation Committee
Mr Gcobani Mancotywa and Ms Nonzukiso Siyotula are members of the
Board Economic Regulation Committee by virtue of their
appointments as chairmen of the Social and Ethics Committee and
Audit and Risk Committee respectively.
