LATE DISTRIBUTION OF ANNUAL REPORT AND NOTICE OF ANNUAL GENERAL MEETING


The Johannesburg Stock Exchange (“JSE”) refers to the announcements made by Tsogo Sun Gaming
Limited (the “Company”) on 30 July 2021. The announcements contain details of the availability of
the annual financial statements for the Company together with a link to the website where the
audited annual financial statements can be downloaded. It also explains the unique Covid-19 related
situation in which the Company finds itself and which has resulted in them being unable to distribute
their annual report and notice of Annual General Meeting within the four-month period stipulated
under Section 3.19 of the JSE's Listings Requirements (the “Requirements”).


Whilst the Company has made available the annual financial statements together with a link to the
website where the audited annual financial statements can be downloaded, the JSE still has an
obligation to release this announcement and to annotate, the Company’s listing on the JSE trading
system with an "RE" to indicate that they have not distributed their annual report and notice of
Annual General Meeting timeously.


The JSE is of the view that the facts and information currently at its disposal clearly indicate that the
effect and consequences of the Covid-19 pandemic are the only reasons why the Company is not
currently able to comply with all of its obligations as set out in Section 3.19 of the Requirements.
Importantly however, and despite the unique circumstances and challenges that have prevented the
Company from timeously complying with all of its obligations, the Company has made a firm and
unequivocal undertaking to fulfil the remainder of its obligations by 17 September 2021.


In terms of the Requirements, the Company’s listing would ordinarily be under threat of suspension
at this stage. In these specific circumstances, and subject to the Company complying with its
obligations as recorded in its undertaking, the JSE wishes to confirm that that the listing of the
Company’s securities is currently not under threat of suspension.


Furthermore, as the Company has a programme memorandum (the “programme”) registered with
the JSE under the Debt Listings Requirements (“the Debt Requirement”) it has obligations under
paragraph 6.14 to 6.17 of the Debt Requirements. In addition to the unavailability of the annual
report discussed above, the Company has not issued and submit annual financial statements for the
guarantors under the programme. The Company has made a firm and unequivocal undertaking that
the guarantors’ annual financial statements will be submitted to the JSE and made available by 6
August 2021.


In terms of the Debt Requirements, the issuers’ programme would ordinarily be under threat of
suspension at this stage. In these specific circumstances, and subject to the Company complying with
its obligations as recorded in its undertakings, the JSE wishes to confirm that the programme is
currently not under threat of suspension.


This announcement has been placed by the JSE in the interest of shareholders and potential future
debt security holders.
