RESULTS OF GENERAL MEETING


Further to the circular distributed to shareholders on 29 March 2018, and using the terms defined therein unless otherwise
stated, shareholders are advised that the ordinary resolutions set out below were approved by the requisite majority of votes at
the general meeting of the Company’s ordinary shareholders held on Friday, 4 May 2018.

The total number of Brainworks’ ordinary shares in issue is 86,306,195 shares of which 75,793,576 shares were voted at the
general meeting, representing 87.82%.
