GRANT OF SHARE RIGHTS IN TERMS OF THE JD GROUP LONG-TERM SHARE-
BASED INCENTIVE SCHEME
In compliance with rules 3.63 to 3.66 of the JSE Limited Listings
Requirements (“Listings Requirements”), the JD Group Board and
the JD Group Remuneration Committee (“RemCom”) wish to disclose
that, in terms of the mandate obtained from shareholders at the
Company’s annual general meeting on 19 November 2014, an off-
market grant of share rights over JD Group ordinary shares of no
par value, has been made on 19 December 2014 to directors of JD
Group and its major subsidiaries under the JD Group Long-Term
Share-Based Incentive Scheme.
The share rights, which are held directly and beneficially, may
mature on the third anniversary of the grant date (i.e. on or
about 19 December 2017), subject to the achievement of certain
performance criteria, or will otherwise lapse after the afore-
mentioned maturity date.
The following directors, all being executive directors of the
Company or of its major subsidiaries, were granted the below-
mentioned number of rights:
