NOTICE OF ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS                            
Notice is hereby given that the annual and special meeting of shareholders (the 
"Meeting") of the Company will be held at The National Club, 303 Bay Street,    
Toronto, Ontario, Canada, M5H 2R1, Goldwin Smith Room, 3rd floor, on September  
8, 2010, at 10:00 a.m. (local time)(4 p.m. South Africa time) for the following 
purposes:                                                                       
1    to receive the audited consolidated financial statements of the Company for
    the year ended March 31, 2010 (the "Financial Statements") and the report   
of the auditors thereon;                                                    
2    to elect directors of the Company for the ensuing year;                    
3    to consider and, if thought advisable, approve the re-appointment of       
    PricewaterhouseCoopers LLP, Chartered Accountants, as auditors for the      
Company, and to authorize the directors of the Company to fix their         
    remuneration;                                                               
4    to consider and, if thought advisable, approve certain amendments and      
    reconfirm the Company`s rolling stock option plan ("Stock Option Plan") as  
required by the Toronto Stock Exchange, all as more specifically set out in 
    the Company`s management information circular (the "Circular") dated August 
    6, 2010;                                                                    
5    to consider and, if thought advisable, to approve an increase to the       
maximum number of shares issuable under the Company`s restricted stock unit 
    incentive plan (the "RSU Plan"), all as more specifically set out in the    
    Circular;                                                                   
to transact such further or other business as may properly come before the      
Meeting or any adjournments or postponements thereof.
