Notification of financial assistance provided to a subsidiary company in terms
of sections 45(5) of the Companies Act, 71 of 2008
Notice is hereby given to Sasfin shareholders that, in terms of the provisions of section 45(5)
of the Companies Act, 71 of 2008 (“the Act”) and pursuant to the special resolution passed at
the annual general meeting of the Company held on 25 November 2021 authorising the board
of directors of Sasfin (“the Board”) to provide direct or indirect financial assistance, as
contemplated in section 45 of the Act, to its related or inter-related companies, the Board has
adopted a resolution to provide financial assistance to its subsidiary, Sasfin Private Equity
Investment Holdings Proprietary Limited (“Sasfin Private Equity”), on the following basis:
1. Sasfin Private Equity entered into an amendment agreement to, inter alia, extend the
existing preference share subscription agreement between Sasfin Private Equity and Absa
Bank Limited (acting through its Corporate and Investment Banking division) (“Absa”).
2. In terms of the amendment agreement Sasfin will provide financial assistance to Sasfin
Private Equity within the meaning of section 45(1)(a) of the Act. The financial assistance
consists of: -
(i) the Company maintaining a guarantee and security interests over certain of its assets
in favour of Absa, as security for the obligations of Sasfin Private Equity under the
preference share subscription agreement; and
(ii) certain subordination provisions contained in the preference share subscription
agreement.
