Appointment of independent non-executive director

In terms of section 3.59 of the Listings Requirements of JSE Limited, the Board of Directors
of Santova has pleasure in announcing the appointment of Mr. Mark Stewart as a non-
executive director of the Company effective 09 December 2022.

Mark joined BDO South Africa as a trainee accountant in 1985 and over the last 37 years has
gone on to hold senior partnership positions in the firm, including the National CEO role
between 2014 and 2022 and has most recently accepted a role with BDO International as the
Regional Director for Africa.

Mark is a qualified Chartered Accountant (South Africa) and a Registered Auditor with the
Independent Regulatory Board for Auditors. He is also a member of the Institute of Directors
and has held committee positions within the Natal Society of Chartered Accountants
Regional Committee and the South African Institute of Chartered Accountants Examinations
Committee and Senior Partners Forum.

In addition to his roles at BDO South Africa and BDO International, Mark has previously
held a non-executive position with a JSE listed company, various directorships in private
entities and has served as a Trustee for several charitable organizations.

The Board of Directors welcomes Mark to Santova and looks forward to his strategic
contribution to the Company.

Change in Director functions

Further to the SENS announcement on 11 November 2022 confirming Mr. Edward Garner’s
appointment as Chairman of the Board, the following changes in director functions are now
confirmed:

Mr. Mark Stewart has been appointed as the Chairman of the Audit and Risk Committee and
the Remuneration Committee, and becomes a member of the Nominations Committee and
Social and Ethics Committee.

Mr. Edward Garner has been appointed as Chairman of the Nominations Committee.
