CHANGE OF SPONSOR

South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY) (South32) (the Company) advises that UBS South Africa (Proprietary) Limited will
no longer be offering JSE sponsor services in South Africa and resigned as South32 Limited’s sponsor on the JSE with effect from the
end of February 2022. The Standard Bank of South Africa Limited has been appointed as Sponsor to South32 on the JSE Limited,
effective 1 March 2022.
